Terms of Service
These Terms of Service (“Terms”) govern your use of Jinna.ai, app.jinna.ai, and the applications, AI functionality, documents, integrations, and other services provided by JINNA.AI LTD (“Jinna”, “we”, “us”, or “our”) (collectively, the “Services”).
By creating an account, purchasing a subscription, or using the Services, you agree to these Terms.
If you use the Services on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not use the Services.
1. About Jinna
Jinna is an AI-powered business platform that helps individuals and businesses manage work such as:
contacts and business information;
proposals, estimates, and invoices;
documents and electronic signatures;
communications and follow-ups;
payments;
business context and memory;
scheduling and integrations;
AI-assisted drafting, research, and workflows; and
other administrative and operational tasks.
Features may vary by plan, account, geography, integration availability, or product version.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use Jinna.
If you use Jinna for a business, you must have authority to act for that business.
3. Your account
You are responsible for:
providing accurate account information;
maintaining the security of your account;
protecting authentication links and credentials;
activities performed through your account; and
promptly notifying us if you believe your account has been compromised.
You may not permit another person to use your account in a manner that violates these Terms.
4. Your content and data
“Customer Content” means information, documents, files, communications, contacts, prompts, images, branding, business information, and other materials that you submit to or create through Jinna.
You retain ownership of your Customer Content.
You grant Jinna a worldwide, non-exclusive licence to host, copy, process, transmit, display, modify, and otherwise use Customer Content only as reasonably necessary to:
provide the Services;
carry out your instructions;
generate or process documents and AI outputs;
provide integrations and workflows;
maintain, secure, troubleshoot, and support Jinna; and
comply with applicable law.
This licence does not transfer ownership of Customer Content to Jinna.
5. Information about other people
Jinna allows you to process information relating to clients, leads, suppliers, signatories, and other people.
You are responsible for ensuring that:
you have authority to provide that information to Jinna;
your processing is lawful;
you give individuals any privacy notices required by law; and
your communications and use of tracking, signing, payment, or other Jinna features comply with applicable law.
6. AI functionality
Jinna uses artificial intelligence and automated systems.
You may use AI functionality to generate, analyse, organise, retrieve, or act on information.
AI-generated content can be inaccurate, incomplete, outdated, or inappropriate for your circumstances.
You remain responsible for reviewing material outputs before using or relying on them.
Jinna does not provide legal, tax, accounting, medical, investment, or other regulated professional advice.
You should obtain qualified professional advice where appropriate.
7. AI actions and automations
Some Jinna features may perform actions at your request or according to workflows or automations you enable.
These may include creating documents, sending communications, creating records, scheduling events, generating payment links, or performing other business tasks.
By requesting an action or enabling a workflow, you authorise Jinna to perform the resulting action within the permissions you have granted.
You remain responsible for configuring automations appropriately and for monitoring material actions where appropriate.
8. Connected services
You may connect Jinna to third-party services such as Google, Stripe, or Xero.
By connecting a service, you authorise Jinna to access or interact with that service within the permissions you grant.
Third-party services are governed by their own terms and policies.
Jinna is not responsible for a third-party service's availability, security, changes, suspension, or acts outside Jinna's reasonable control.
You may be able to revoke an integration through Jinna or directly through the third-party provider.
9. Google services
Where you choose to connect Google services, Jinna will access Google data only according to permissions authorised by you and for relevant user-facing functionality.
Depending on the features enabled, this may include authentication, Calendar functionality, and sending email on your behalf.
Our processing of Google information is further described in our Privacy Policy.
Jinna's use of Google Workspace data is subject to Google's applicable user-data policies, including the Limited Use requirements.
10. Documents, proposals, invoices, and estimates
Jinna can help create business documents.
You are responsible for reviewing documents before sending or relying on them.
Unless explicitly stated otherwise, Jinna does not verify:
pricing;
tax calculations;
contractual language;
regulatory requirements;
client details;
payment details; or
other information contained in documents.
You are responsible for ensuring that your documents comply with laws applicable to you and your business.
11. Electronic signatures
Jinna may provide electronic-signature functionality.
The legal effect and enforceability of an electronic signature depends on factors including the document, transaction, parties, jurisdiction, and signing process.
Jinna does not guarantee that a particular electronic signature or document will satisfy every legal, regulatory, evidentiary, or formal requirement.
You are responsible for determining whether Jinna's electronic-signature functionality is appropriate for your transaction.
You must not use Jinna electronic signatures to impersonate another person, falsify consent, or sign a document without authority.
12. Shared links
Jinna may allow you to share proposals, invoices, estimates, signing requests, or other documents using unique links.
You are responsible for deciding who receives a link and what information you include in a shared document.
Anyone who obtains an accessible sharing link may be able to access the associated content, subject to any verification, expiry, or other access controls enabled for that document.
13. Payments between users and their clients
Jinna may help users create payment links or facilitate payments through third-party providers such as Stripe.
Unless expressly stated otherwise:
Jinna is not the merchant, buyer, or seller in the underlying transaction between you and your client;
funds are processed by the relevant payment provider;
you are responsible for your products or services, refunds, taxes, disputes, and customer obligations; and
payment-provider terms may apply separately.
14. Subscriptions and billing
Jinna may offer free and paid plans.
Current features, usage limits, prices, billing intervals, and trial terms are shown at signup, checkout, or within the Services.
Paid subscriptions may automatically renew at the applicable billing interval until cancelled.
By purchasing a subscription, you authorise Jinna and its payment provider to charge the applicable fees and taxes using your selected payment method.
15. Trials and promotional offers
Jinna may offer free trials, promotional access, discounts, credits, or other offers.
The duration and terms of an offer are those presented when the offer is made.
We may determine eligibility for promotional offers and may withdraw or modify an offer where permitted by law.
16. Cancellation
You may cancel a paid subscription using the cancellation method available through Jinna or our payment provider.
Unless otherwise stated at purchase or required by law, cancellation takes effect at the end of the current paid billing period.
You remain able to use paid features until that period ends unless your account has been suspended for another reason.
17. Refunds
Except where required by applicable law or expressly stated otherwise at the time of purchase, payments are non-refundable once charged.
Nothing in these Terms limits mandatory consumer cancellation, refund, or statutory rights that apply to you.
18. Price changes
We may change prices or plan structures.
Changes affecting an existing paid subscription will take effect only after any notice required by applicable law.
If you do not agree with a future price, you may cancel before the new price applies.
19. Acceptable use
You must not use Jinna to:
violate applicable law;
violate another person's privacy, intellectual-property, contractual, or other rights;
impersonate another person;
create fraudulent documents or payment requests;
send unlawful, deceptive, abusive, or unsolicited communications;
upload malware or malicious code;
compromise or probe Jinna's security;
interfere with the Services;
obtain unauthorised access to accounts or data;
circumvent usage, security, or access controls;
scrape or systematically extract substantial portions of the Services;
reverse engineer the Services except to the extent applicable law expressly permits it;
use Jinna to develop a competing product using unauthorised extraction of Jinna's proprietary systems or content; or
use the Services in any manner that could reasonably damage Jinna, our infrastructure, or other users.
20. Jinna intellectual property
Jinna and its licensors own all intellectual-property rights in the Services other than Customer Content.
This includes Jinna's software, source code, designs, interfaces, branding, workflows, documentation, models, prompts, systems, and underlying technology.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your personal or internal business purposes.
No other rights are granted.
21. Feedback
If you voluntarily provide ideas, suggestions, or feedback specifically about Jinna, you permit us to use that feedback without restriction or compensation.
This does not apply to your Customer Content, client information, confidential business information, or other information submitted through ordinary use of the Services.
22. Privacy
Our Privacy Policy explains how we process personal information and forms part of your relationship with Jinna.
You are responsible for complying with applicable privacy and data-protection requirements concerning information that you place into Jinna.
23. Security
We use reasonable safeguards designed to protect the Services and information we process.
However, no internet-based service can guarantee absolute security.
You are responsible for:
using secure devices;
protecting your account;
managing shared links appropriately; and
granting integrations only the access you intend to provide.
24. Service availability and changes
Jinna is continuously evolving.
We may add, modify, replace, limit, or discontinue features.
We may also suspend the Services temporarily for maintenance, security, infrastructure failures, third-party outages, or other operational reasons.
Where reasonably practicable, we will try to minimise material disruption.
25. Beta and experimental features
Some features may be described as beta, preview, experimental, or similar.
Such features may change substantially, contain additional errors, or be discontinued without notice.
26. Suspension and termination
You may stop using Jinna at any time.
We may restrict, suspend, or terminate access where reasonably necessary if:
you materially breach these Terms;
required fees remain unpaid;
your activity creates a security, legal, or fraud risk;
your use materially disrupts the Services or other users;
we are required to do so by law; or
continued provision of the Services is no longer reasonably practicable.
Where appropriate, we will provide reasonable notice or an opportunity to remedy the issue.
27. Effect of termination
Following termination:
your right to use the Services ends;
unpaid amounts remain due;
provisions intended to survive termination remain effective; and
Customer Content and personal information will be handled according to our Privacy Policy and applicable law.
Certain information may be retained after termination where required for financial records, electronic-signature evidence, security, fraud prevention, legal obligations, dispute resolution, or legal claims.
28. Disclaimers
To the fullest extent permitted by applicable law, the Services are provided on an “as available” basis.
We do not guarantee that:
Jinna will always be available or error-free;
AI-generated output will be accurate;
every integration will remain available;
every automated action will achieve the intended result;
use of Jinna will result in increased revenue, faster payment, or other business results; or
documents produced through Jinna will satisfy every legal or regulatory requirement.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
29. Limitation of liability
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability for fraud or fraudulent misrepresentation and, where applicable, death or personal injury caused by negligence.
To the fullest extent permitted by law, Jinna will not be liable for:
indirect or consequential loss;
loss of profits, anticipated savings, business opportunities, goodwill, or reputation;
losses arising from third-party services;
losses caused by inaccurate AI-generated output where reasonable review could have identified the error; or
losses resulting from your unauthorised or unlawful use of the Services.
For business users, Jinna's aggregate liability arising out of or relating to the Services during any 12-month period will not exceed the greater of:
(a) the fees paid or payable by you to Jinna during the 12 months preceding the event giving rise to the claim; or
(b) £100.
This limitation does not affect mandatory rights available to consumers.
30. Business-user indemnity
If you use Jinna primarily for business purposes, you will indemnify Jinna against third-party claims, liabilities, damages, and reasonable costs arising directly from:
Customer Content that infringes another person's rights;
your unlawful use of the Services;
communications or documents you send without required authority; or
your material breach of these Terms.
This section does not apply to the extent the claim was caused by Jinna's own breach, negligence, or unlawful conduct.
31. Consumer rights
If you use Jinna as a consumer rather than primarily for business purposes, you may have mandatory rights under the law of the country where you live.
Nothing in these Terms removes or restricts rights that cannot lawfully be waived.
32. Changes to these Terms
We may update these Terms to reflect changes to the Services, our business, or applicable law.
We will update the “Last updated” date when we do so.
If a change materially affects your rights, we will provide additional notice where reasonably required.
33. Governing law and disputes
These Terms are governed by the laws of England and Wales.
If you use Jinna for business purposes, the courts of England and Wales will have exclusive jurisdiction over disputes relating to these Terms, unless we agree otherwise.
If you are a consumer, this provision does not remove any mandatory right you have to rely on the laws or courts available to you under applicable consumer law.
34. General terms
If any provision of these Terms is held unenforceable, the remaining provisions remain effective.
Our failure to enforce a provision is not a waiver of our right to enforce it later.
You may not assign these Terms without our consent where the assignment would materially affect our rights or obligations.
We may assign these Terms as part of a reorganisation, financing, merger, acquisition, or sale of our business.
These Terms, together with policies expressly incorporated into them and any separate written agreement between you and Jinna, constitute the agreement governing your use of the Services.
